Terms of Service

These Terms govern engagement, delivery, and acceptable use of ZetaNeural AI services.

1. Scope of Services

ZetaNeural AI provides custom AI agent development, integration, and optimization services for business clients. Services may include design, implementation, deployment, and ongoing support of AI-driven systems tailored to client requirements.

2. Engagement & Delivery

All engagements are defined by a separate agreement, proposal, or statement of work (SOW).

Delivery timelines, milestones, and scope are agreed upon before project initiation.

ZetaNeural AI commits to delivering production-ready solutions aligned with agreed specifications, while the Client agrees to provide timely feedback, access, and required resources.

3. Fees & Payment

Fees are defined in the project agreement or proposal.

Unless otherwise stated:

  • Payments are non-refundable once work has commenced.
  • Late payments may result in project suspension.
  • Ongoing services (if applicable) are billed on a recurring basis.

4. Intellectual Property

  • Upon full payment, the Client receives rights to use the delivered solution as defined in the agreement.
  • ZetaNeural AI retains the right to reuse general know-how, frameworks, and non-client-specific components.
  • Any third-party tools, APIs, or models remain subject to their respective licenses.

5. Use of AI Systems

The Client agrees to use delivered AI systems in compliance with applicable laws and regulations.

Prohibited use includes, but is not limited to:

  • Illegal activities.
  • Harmful, deceptive, or abusive behavior.
  • Violation of data protection or privacy laws.

ZetaNeural AI is not responsible for misuse of the system after delivery.

6. Data & Privacy

The Client is responsible for ensuring that all data provided complies with applicable data protection laws (including GDPR where applicable).

ZetaNeural AI processes data only as required to deliver services and does not retain client data beyond agreed purposes unless otherwise specified.

7. Performance & Limitations

AI systems are probabilistic and may produce imperfect or unexpected outputs.

While ZetaNeural AI applies best practices to optimize accuracy and reliability, we do not guarantee error-free performance.

8. Third-Party Dependencies

Solutions may rely on third-party services (e.g., LLM providers, cloud platforms).

ZetaNeural AI is not liable for outages, changes, or limitations imposed by such third-party providers.

9. Support & Maintenance

Support terms, response times, and service levels (if any) are defined in the applicable agreement.

Unless explicitly included, ongoing support is not guaranteed after project delivery.

10. Limitation of Liability

To the maximum extent permitted by law, ZetaNeural AI shall not be liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.

11. Termination

Either party may terminate the engagement as defined in the agreement.

Upon termination:

  • All outstanding payments become due.
  • Access to services may be revoked.

12. Governing Law

These Terms shall be governed by and interpreted in accordance with applicable laws, as defined in the governing agreement between the parties.
